This Content Submission & Ownership Agreement (“Agreement”) governs the submission of any artwork, logos, designs, images, phrases, or creative materials (“Submitted Content”) provided by you (“Client”) for the purpose of producing merchandise, apparel, or related products through Move.
By submitting any content to Move, the Client acknowledges and agrees to the following terms:
The Client represents, warrants, and affirms that:
They are the sole legal owner of all Submitted Content, or they possess full legal rights, licenses, and permissions to use, reproduce, modify, and distribute the Submitted Content.
The Submitted Content does not infringe upon or violate any copyright, trademark, trade dress, publicity right, or other intellectual property rights of any third party.
The Submitted Content is not stolen, plagiarized, misappropriated, or derived from unauthorized sources.
All statements regarding ownership and rights are true, accurate, and complete, and Move is entitled to rely on these statements without independent verification.
The Client assumes full legal responsibility for the accuracy of these representations.
By submitting content, the Client grants Move and Motivated Energy Mindset LLC the following rights:
Full commercial rights to reproduce, modify, adapt, print, distribute, and sell merchandise or products incorporating the Submitted Content.
Worldwide, perpetual, irrevocable, royalty‑free license to use the Submitted Content in any form of marketing, advertising, digital media, or promotional materials.
Ownership of all final production files, including derivative works, mockups, edits, enhancements, and merchandise‑ready versions created by Move.
This transfer applies only to the final versions created by Move. The Client retains ownership of their original raw files unless otherwise agreed in writing.
The Client agrees to indemnify, defend, and hold harmless Move, Motivated Energy Mindset LLC, and all affiliated owners, employees, contractors, and partners from any claims, damages, losses, liabilities, or legal actions arising from:
False or inaccurate claims of ownership
Copyright, trademark, or intellectual property infringement
Misrepresentation of rights or permissions
Plagiarism or unauthorized use of third‑party content
Disputes involving Submitted Content
If any legal dispute arises regarding the Submitted Content, the Client accepts full and exclusive liability, including all legal fees, damages, and associated costs.
Move shall bear no responsibility for verifying ownership or authenticity of Submitted Content.
The Client agrees that they will not assert or pursue any legal claims against Move related to:
Use of Submitted Content in merchandise
Modifications, adaptations, or alterations made by Move
Distribution, sale, or marketing of products featuring Submitted Content
Removal, editing, or transformation of Submitted Content for production purposes
The Client acknowledges that Move has full creative discretion in preparing Submitted Content for commercial use.
The Client grants Move full authority to:
Produce merchandise using the Submitted Content
Sell products worldwide through any platform, marketplace, or distribution channel
Set pricing, manage inventory, run promotions, and determine product availability
Include the designs in future Move collections, unless otherwise agreed in writing
No additional compensation, royalties, or payments shall be owed to the Client unless a separate written agreement is executed.
This Agreement becomes effective immediately upon submission of any content to Move
All rights granted to Move under this Agreement are perpetual, irrevocable, and non‑cancelable, unless Move chooses to terminate them in writing at its sole discretion.
This Agreement shall be interpreted and enforced under the laws of the state in which Motivated Energy Mindset LLC is registered, unless otherwise required by applicable law.
